does it have a circular base?

The Broan 761 has a rectangular box that mounts into the cieling with a 4" round connection for ducting.

can I put this in the ceiling over my tub/shower

The Broan 761 combination ventilation fan and light is UL listed for damp locations. You can have it in your bathroom but not directly over the tub/shower.

Does the fan operate on a separate switch?

The Broan 761 light and fan can opperate on seperate switches.
